Through it, Plaintiffs seek to enjoin the Government from enforcing the Corporate Transparency Act and its Implementing Regulations. Having considered the Motion, the arguments of counsel, and the applicable law, the Court concludes that the Motion should be GRANTED. “Great nations, like great men, should keep their word.” Fed. The CTA injunction has been lifted, and CTA Beneficial Ownership Reports are voluntary once again.What this is: On December 26, 2024, the Fifth Circuit Court of Appeals reversed its order lifting the nationwide preliminary injunction on Corporate Transparency Act (CTA) enforcement.What this means: This puts the injunction back in effect and makes the filing of beneficial ownership information reports (BOIRs) under the CTA voluntary again while the injunction remains in force.Background:On December 3, 2024, a Texas District Court in the case, Texas Top Cop Shop vs. Garland, issued a nationwide preliminary injunction (“the injunction”) against enforcement of the Beneficial Ownership Information (BOI) reporting requirements of the CTA. As a result of the District Court’s order, from December 3, 2024 to December 23, 2024, FinCEN continued accepting BOIRs submitted on a voluntary basis, but no reporting companies (as that term is defined in the CTA and its implementing regulations) were required to file BOIRs while the injunction was in force, despite the filing deadlines mandated in the CTA’s regulations. The government appealed the District Court’s issuance of the injunction to the Fifth Circuit Court of Appeals (“the Fifth Circuit”), seeking to have the injunction lifted.On December 23, 2024, a motion panel of 3 Fifth Circuit judges granted the government’s appeal and lifted the District Court’s injunction, making BOI reporting under the CTA mandatory again. As a result, FinCEN extended the January 1, 2025 deadline to January 13, 2025 for non-exempt reporting companies in existence prior to this year to file their BOI reports and gave extensions to non-exempt reporting companies created during 2024 whose reports came due while the injunction was in force. In recent months, Texas Republicans have been warning of election fraud. Now, Dallas County Democrats are pushing back with their own claims that a GOP candidate for state House submitted a fraudulent application. Last week, a lawyer wrote the district attorney's office on behalf of Dallas County Democratic Party Chair Kristy Noble. The Democrats allege that Texas House District 114 candidate Mark Hajdu, a Republican, falsely stated that he still lived within that district. They also claim that his wife, Dallas County Republican Party Chair Jennifer Stoddard-Hajdu, signed off on the false filing. The Hajdus' alleged goal? To hand-pick a good Republican contender to square off with the Democratic nominee after Hajdu’s candidacy was declared ineligible, Noble argues. The way Noble sees it, it’s implausible that the Hajdus didn’t realize that they no longer lived in HD 114, which was redrawn last year. On top of Stoddard-Hajdu's position as county GOP chair, she said, her husband has served as a local precinct chair. At the same time, Republicans at every level of government have continuously cried “fraud,” she added. “It seems again and again, we are at least seeing the implication of impropriety on the Republican side,” Noble said. “And so it just seems that the call of the ‘Big Lie’ is really all projection.” Noble later said Texas is the most difficult state in which to vote. Sometimes, people avoid the ballot box because they feel their vote doesn’t matter and that the system is rigged. “These types of improprieties perpetuate that feeling, and so making it harder to vote and then breaking the election code in the law to cherry-pick a candidate is doing nothing but deteriorating our democracy and faith in our democracy,” she said. “That's why we filed the complaint.” The Democrats have published a copy

OPINIONNovelis Corporation appeals from the order of the district court granting summary judgment to plaintiff Cincom Sysems, Inc. (“Cincom”), on its claim of copyright infringement. See 17 U.S.C. § 501. Novelis argues that the district court erred by concluding that a series of mergers Novelis underwent as part of an internal corporate restructuring resulted in a prohibited transfer of the software license Cincom had granted to a former Novelis subsidiary. Finding that our prior decision in PPG Industries, Inc. v. Guardian Industries Corp., 597 F.2d 1090 (6th Cir.1979), governs Novelis's appeal, we agree with the district court that Novelis's actions led to an impermissible transfer of the software license and accordingly affirm its judgment.I.Cincom is an Ohio-based corporation that develops, licenses, and services software for its corporate customers. The rights to use two of Cincom's most popular software offerings form the basis of the current dispute. SUPRA© is a database management program that allows a corporation to manage millions of records. MANTIS© is a fourth-generation application development system, i.e., a computer language that allows a corporation's software professionals to develop computer programs that allow the corporation's operations to function more smoothly. Cincom is the sole owner of all rights to both the SUPRA© and MANTIS© software. Rather than sell the computer programs themselves, Cincom only sells licenses that allow its customers to use the two programs for an annual fee.On July 5, 1989, Cincom agreed to license SUPRA© and MANTIS© to Alcan Rolled Products Division (“Alcan Ohio”), an Ohio-based corporation that would later become known as Novelis. The license Cincom issued listed “Alcan Rolled products [sic] Division” as the “Customer” and granted to Alcan Ohio “a non-exclusive and nontransferable license” to use Cincom's software. (License at 1.) The license agreement clarified that the two software programs “constitute proprietary and confidential information of Cincom and that the protection of this information is of the highest importance.” (License at 2.) Consequently, Alcan Ohio could only place the software on designated computers that the parties specifically listed in a schedule attached to the license. (License at 1.) Alcan Ohio listed the designated computer as one located at its facility in Oswego, New York. The license agreement closed by noting that Ohio law would govern its terms and that Alcan Ohio could “not transfer its rights or obligations under this Agreement without the prior written approval of Cincom.” (License at 3.)Before the commencement of Alcan Ohio's internal reorganization, Alcan Ohio was a wholly-owned subsidiary of Alcan, Inc., a Canadian corporation.
